Service Agreement Policy 2025/2026
1. Scope of Services
This Service Agreement (“Agreement”) sets forth the terms and conditions under which TC Controls Group (the “Service Provider”) shall furnish services to the Client. The specific scope of services to be performed shall be established and agreed upon, either in writing or verbally, prior to the commencement of any work. Unless otherwise stipulated in a separate written contract executed between the Parties, all such services shall be rendered on an hourly basis and billed accordingly.
2. Access to Equipment and Software
- The client will provide access to the work area to allow the service provider to perform the work requested.
- The client will provide any safety training, or company escort to comply with their own specific safety requirements and sign in procedures
- For remote service work, the client will provide a remote software connection to their system(s) as needed. This can either be by a TC Controls provided platform, or a client provided platform
3. Commencement of Work and Schedule
- Work shall not commence until the Client’s account is in good standing
- All work must be scheduled in advance and coordinated between both parties.
4. Hourly Work
- Services are billed at the agreed hourly rate, which may be:
- The current standard hourly rate (subject to change),
- A pre-purchased block of hours at a discounted rate (rate remains fixed until the time is used or expires), or
- The rate specified in your service contract (rate remains fixed until the contract term ends).
- Time is tracked in 15-minute increments.
- Any work beyond the agreed scope must be pre-approved in writing by the Client before it begins.
- If no scope of work is defined, services will continue until the Client confirms the work is complete.
- Invoices are issued weekly or upon completion of the work and are payable within 30 days of the invoice date provided account is in good standing.
- Late payments may incur interest or penalties as specified in the invoice terms.
- Travel to Client’s Site will be billed at the standard or mutually agreed-upon rate.
5. Parts and Material
- Parts and materials needed to complete the service work will be added to the bill as needed.
- Client is responsible for payment of any material needed to complete the work
6. Warranty Statements
- The Service Provider warrants that all work performed will be completed in a professional manner and in accordance with industry standards.
- Any defects or issues directly resulting from the Service Provider’s work must be reported within 5 business days of service completion.
- The Service Provider will make reasonable efforts to correct any such defects at no additional cost to the Client if reported within the warranty period.
- The warranty does not cover defects arising from misuse, unauthorized modifications, or external factors beyond the Service Provider’s control.
- Any additional corrections beyond the warranty period will be billed at the standard hourly rate.
- The warranty expressly excludes coverage for travel time and travel-related expenses. Such costs shall be invoiced separately and shall remain the sole responsibility of the Client.
- The warranty shall not take effect unless and until all amounts due for the applicable services have been paid in full by the Client.
- With respect to any parts supplied in connection with the services, the warranty is strictly limited to, and shall not exceed, the warranty terms and conditions provided by the original manufacturer or vendor of said parts. TC Controls Group provides no independent warranty with respect to such parts.

7. Limitation of Liability
- The Service Provider shall not be liable for indirect, incidental, or consequential damage arising from the services provided.
- The maximum liability under this Agreement shall not exceed the total amount paid by the Client for the services rendered.
8. Termination
- Either party may terminate this Agreement with 24 hours' written notice.
- In the event of termination, the Client is responsible for payment of all work completed up to the termination date.
9. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of Massachusetts, USA
10. Acceptance of Terms
- By requesting or authorizing services from TC Controls Group—whether by email, phone, verbal confirmation, or any other form of communication—the Client acknowledges and accepts the terms and conditions set forth in this Agreement. Any request for work made to TC Controls via written or verbal methods constitutes an agreement to these terms.
